For example, if a referred customer makes an initial purchase of 5 each: $50 for 1 to 3 URL's. (Minimum License), you receive one (1) free URL to use with your IBCI Web Promotion! account. IBCI Web Promotion! at its discretion and at any time, may change the services that qualify for the reseller program.

Compensation: Compensation will be paid in cash or in the form of free URL Hosting for your IBCI Web Promotion! account. You choose which compensation plan you want to receive when you complete the reseller application.

When you select payment by check, you will earn 20% of the selling price of the initial service purchased. For example: if a reseller's customer initially purchases a 6 URL package for $100, you will receive $20.00.

When you select payment in the form of free URL Hosting to be used for your IBCI Web Promotion! account, you will earn one (1) free URL for every five (5) Licenses initially purchased by customers referred from your site. For example, if a referred customer makes an initial purchase of 5 each: $50 for 1 to 3 URL's. (Minimum License), you receive one (1) free URL to use with your IBCI Web Promotion! account. To exercise this option, you must first be a IBCI Web Promotion! customer.

Compensation is not paid on subsequent purchases made by referred customers.

Compensation will not be paid on any sales tax charges, if applicable, included in the sale of a IBCI Web Promotion! service.

Compensation Payment: Checks: IBCI Web Promotion! will send a reseller check for the applicable services (less any taxes required to be withheld under applicable law) and a statement of account activity to you approximately 15 days after each full two month period.

All payments will be made in U.S. dollars.

If payments to a Reseller accumulate to $599 in a calendar year, then Reseller will be required to provide IBCI Web Promotion! a signed W-9 Form before IBCI Web Promotion! will make additional payments to the Reseller in the same calendar year.

Free URL Hosting: IBCI Web Promotion! will credit your account with earned URL's approximately 15 days after each full two month period. Credits less than one (1) URL will be held until the two month period in which the reseller exceeds one (1) URL. There will be no fees earned or owed if the agreement is cancelled before you earn one (1) URL.

You may convert free URL's into cash at any time.

Returns and Cancellations: If a reseller's qualifying service is later cancelled by the customer for a refund, the related compensation previously paid you will be deducted from the next monthly payment. You will be invoiced if there is no additional payments.

Processing Orders: IBCI Web Promotion! will be solely responsible for processing every order placed by a customer following a link from your Web site.

All of the rules, operating procedures and policies of IBCI Web Promotion! regarding customer orders and accounts will apply to orders we receive through the link from your Web site. IBCI Web Promotion! reserves the right to reject any order that does not comply with our rules, operating procedures and policies.

Sales tracking: IBCI Web Promotion! will be solely responsible for tracking sales we make to customers who follow a link from your Web site. You will be solely responsible for ensuring that the link is formatted properly (a necessary prerequisite to tracking such sales). Statements of qualifying IBCI Web Promotion! sales activity will be provided to you.

Customer privacy is protected, the names and other personal information about specific customers will not be provided to you.

IBCI Web Promotion! Policy Applies to all Orders: Every customer who buys a IBCI Web Promotion! service through this program is deemed to be a customer of IBCI Web Promotion!. The Reseller does not have the authority to make or accept any offer on behalf of IBCI Web Promotion!. All IBCI Web Promotion! policies regarding customer orders will apply to these customers. IBCI Web Promotion! is not responsible for any representations made by the Reseller which contradict our policies.

Service Prices: The price charged for every service sold under this program will be determined by IBCI Web Promotion! according to our own pricing policies. Service prices may vary from time to time. You may not specify service prices in your descriptions, and IBCI Web Promotion! policies will always determine the price paid by the customer.

IBCI Web Promotion! being displayed on the your Web Site: You may identify your Web site as a IBCI Web Promotion! Reseller Program by displaying a IBCI Web Promotion! link, button or banner provided by IBCI Web Promotion!. IBCI Web Promotion! reserves all rights in or to its trade names, logo and or any marks.

Reseller's may not display the IBCI Web Promotion! link or image in any way that may defame the IBCI Web Promotion! name or brand.

Reseller's may also use text with the link or image. For example:

Use IBCI Web Promotion! registration services, to promote your Web site on the Internet.

Reseller's may provide additional text explaining the IBCI Web Promotion! services that encourages customers to purchase the services. Note: Images / Banners are not to be downloaded. The image location is not to be changed from off the IBCI Web Promotion! site to the resellers site. This is to insure that updates can be made to the banners, if required; and this can not be done if you access the banner at your location.

The following types of sites are NOT allowed to participate in our services:

• Sites containing Adult-oriented material,
• sites encouraging illegal activity or racism,
• or other sites we deem to be inappropriate.

Personal Use Restrictions: This program is intended for commercial use only, paying compensation for qualifying services sold to third parties who follow a special link from your Web site. Resellers who use this program to purchase services for their own use are in violation of the agreement. IBCI Web Promotion! may, in its sole discretion, terminate this agreement and/or withhold payment of compensation if we find that such personal use has occurred.

Web Site Service Interruption and Tracking Failures: IBCI Web Promotion! will make every effort to keep its Web site operational and to track customers that link from the partner's site to the Web Promotion! site. However, certain technical difficulties may, from time to time, result in temporary service and tracking interruptions. The Reseller agrees not to hold IBCI Web Promotion! liable for any of the consequences of such interruptions.

Term of the Agreement: The Reseller may receive compensation on qualifying orders that are placed during the term of this agreement. This term will begin on the date that your application is approved by IBCI Web Promotion!, and shall end when canceled by either party as provided below.

Compensation earned through the date of expiration or cancellation of this agreement will remain payable only if the qualifying services are not cancelled or refunded by the Customers. Final compensation payment to the Reseller may be withheld for a reasonable time in order to ensure that the correct amount is paid.

Modifying The Agreement: IBCI Web Promotion! reserves the right to change any of the terms and conditions in this agreement, at any time and in its sole discretion, by posting a new agreement on our Web site.

Without limiting the generality of the foregoing, referral fee schedules, the definition of qualifying services, and all other provisions of this agreement are subject to change without notice other than posting such information on our Web site.

Agreement Cancellation: Either IBCI Web Promotion! or the Reseller, acting in their sole discretion, may choose to cancel this agreement.

Warranty Disclaimer: IBCI Web Promotion! makes no warranties, representations or conditions with regard to the program.

Damage Limitation: IBCI Web Promotion! shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program, even if IBCI Web Promotion! has been advised of the possibility of such damages. Further, IBCI Web Promotion!'s aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total referral fees paid or payable by IBCI Web Promotion! to Resellers under this agreement.

Miscellaneous: Reseller and IBCI Web Promotion! are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. Participant shall not assign this Agreement, by operation of law or otherwise, without the prior written consent of IBCI Web Promotion!. Subject to the foregoing restriction, this agreement is binding upon, insures to the benefit of and is enforceable by the parties and their respective successors and assigns.

Governing Law: This agreement shall be governed by the laws of the United States and the State of Connecticut without reference to its choice of law principles.
